These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Elecatro LLC, a limited liability company organized under the laws of the State of Wyoming, United States ("Elecatro," "we," "us," or "our"), governing your access to and use of any website, software-as-a-service platform, application programming interface, AI model, dataset, custom software deliverable, or other product or service made available by Elecatro (collectively, the "Services").
By creating an account, accessing, or using any Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "Customer," "you," and "your" refer to that entity. If you do not agree to these Terms, you must not access or use the Services.
1. Definitions
- "Services" means all SaaS platforms, web applications, APIs, AI models, automation tools, custom software, and related support provided by Elecatro.
- "Customer Content" means any data, text, files, models, prompts, or other materials uploaded, submitted, or generated by Customer through the Services.
- "Output" means any content, prediction, code, text, or other material generated by an Elecatro AI model or automation system in response to Customer Content or Customer instructions.
- "Subscription" means a paid plan granting access to the Services on a recurring monthly or annual basis.
- "Authorized User" means any individual Customer permits to access the Services under its account.
2. Eligibility and Accounts
- You must be at least 18 years old and capable of forming a binding contract to use the Services.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account.
- You must provide accurate, current, and complete information during registration and keep it updated.
- Elecatro reserves the right to suspend or terminate accounts that provide false information or that we reasonably believe pose a security or fraud risk.
3. Subscriptions, Fees, and Billing
Subscription Plans
Access to certain Services requires a paid Subscription, billed on a monthly or annual basis as selected at checkout. Subscription fees are stated in U.S. Dollars unless otherwise specified.
Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle for an equivalent term, at Elecatro's then-current pricing, unless cancelled prior to the renewal date through your account settings or by written notice.
Payment Authorization
By providing payment information, you authorize Elecatro and its third-party payment processors to charge all applicable fees, taxes, and renewal charges to your designated payment method.
Price Changes
Elecatro may modify Subscription pricing at any time. Price changes will take effect at the start of the next billing cycle following at least 30 days' notice.
Refunds
Except where required by applicable law, all fees are non-refundable, including for partial billing periods, unused features, or early termination.
Late or Failed Payments
If payment fails or is overdue, Elecatro may suspend or restrict access to the Services until outstanding amounts are paid in full, without liability for any resulting loss of access or data.
Taxes
Fees do not include applicable sales, use, value-added, withholding, or similar taxes. Customer is responsible for all such taxes other than taxes based on Elecatro's net income.
4. Acceptable Use
You agree not to, and not to permit any Authorized User or third party to:
- Use the Services to violate any applicable law, regulation, or third-party right, including intellectual property, privacy, or export-control laws;
- Reverse engineer, decompile, disassemble, or attempt to derive the source code, underlying models, weights, or architecture of any Elecatro software or AI system, except where prohibited by applicable law;
- Use the Services to develop, train, or improve a competing product or service;
- Probe, scan, or test the vulnerability of the Services, or attempt to circumvent security or authentication mechanisms;
- Upload or transmit malicious code, viruses, or any material that could disable, overburden, or impair the Services;
- Use the Services to generate content that is unlawful, defamatory, infringing, deceptive, discriminatory, or harmful to minors;
- Use automated means (bots, scrapers) to access the Services beyond what is permitted by published APIs;
- Misrepresent your identity or affiliation, or impersonate any person or entity;
- Resell, sublicense, or provide the Services to third parties as a standalone or bundled commercial offering without Elecatro's prior written consent.
Elecatro reserves the right to investigate suspected violations and to suspend or terminate access immediately for any breach of this Section, without prior notice and without liability.
5. Customer Content and Data
Ownership
As between the parties, Customer retains all ownership rights in Customer Content. Customer grants Elecatro a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display Customer Content solely as necessary to provide, maintain, secure, and improve the Services.
AI Training and Model Improvement
Elecatro may use aggregated, de-identified, or anonymized data derived from use of the Services to monitor performance, improve the Services, and, where applicable, to train or fine-tune Elecatro's proprietary AI models. Elecatro will not use Customer Content containing personal data or confidential business information to train AI models made available to other customers or the public, except (a) with Customer's explicit opt-in consent, or (b) in anonymized/aggregated form that does not identify Customer or any individual. Customers may opt out of any non-essential model-training use of their data through account settings or by written request to Elecatro.
Data Protection
Elecatro implements commercially reasonable administrative, technical, and physical safeguards designed to protect Customer Content against unauthorized access, disclosure, alteration, or destruction. Where Elecatro processes personal data on Customer's behalf, the parties' respective obligations are further described in Elecatro's Privacy Policy and, where applicable, a separate Data Processing Addendum.
Backups and Loss of Data
While Elecatro maintains reasonable backup procedures, Customer is solely responsible for maintaining independent backups of all Customer Content. Elecatro is not liable for any loss, corruption, or unavailability of Customer Content.
6. Intellectual Property
Elecatro IP
The Services, including all software, source code, AI models, model weights, algorithms, documentation, trademarks, logos, and designs, are and remain the exclusive property of Elecatro and its licensors. No rights are granted to Customer except the limited right to access and use the Services as expressly set out in these Terms.
Output
Subject to your compliance with these Terms and payment of applicable fees, Elecatro assigns to Customer all right, title, and interest in Output generated specifically for Customer through the Services, excluding any underlying Elecatro models, software, or pre-existing intellectual property embedded therein, which remain the property of Elecatro. Elecatro makes no representation that Output is unique and similar output may be generated for other customers.
Feedback
If Customer submits feedback, suggestions, or ideas regarding the Services, Elecatro may use such feedback without restriction or obligation to Customer.
7. Custom Software and Professional Services
Where Elecatro provides custom software development, integration, or consulting services under a separate statement of work or order form, the terms of that statement of work govern scope, deliverables, timelines, and acceptance criteria, with these Terms applying to all matters not expressly addressed therein. Ownership of custom deliverables will be as specified in the applicable statement of work; absent such specification, Elecatro retains ownership of all pre-existing tools, frameworks, and libraries used to create the deliverable, while Customer receives a non-exclusive license to use the final deliverable for its internal business purposes.
8. Third-Party Services
The Services may integrate with or rely on third-party platforms, APIs, or services (including cloud infrastructure, payment processors, and data providers). Elecatro is not responsible for the availability, accuracy, or performance of third-party services, and your use of such integrations may be subject to the third party's own terms and policies.
9. Disclaimers
THE SERVICES, INCLUDING ALL AI MODELS AND OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. ELECATRO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY AI-GENERATED OUTPUT WILL BE ACCURATE, COMPLETE, OR RELIABLE. CUSTOMER IS SOLELY RESPONSIBLE FOR EVALUATING THE ACCURACY, APPROPRIATENESS, AND LEGALITY OF ANY OUTPUT BEFORE RELYING ON IT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL ELECATRO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY, EVEN IF ELECATRO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
ELECATRO'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS WILL NOT EXCEED THE TOTAL FEES PAID BY CUSTOMER TO ELECATRO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Elecatro and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use or misuse of the Services; (b) Customer Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party right.
12. Term, Suspension, and Termination
- These Terms remain in effect for as long as you maintain an account or use the Services.
- Elecatro may suspend or terminate your access immediately, with or without notice, for any breach of these Terms, non-payment, suspected fraud, or legal/regulatory requirement.
- Customer may terminate at any time by cancelling its Subscription through account settings; cancellation takes effect at the end of the current billing period.
- Upon termination, Customer's right to access the Services ceases immediately. Elecatro may delete Customer Content following a reasonable retention period, except where retention is required by law.
- Sections relating to fees owed, intellectual property, disclaimers, limitation of liability, indemnification, and governing law survive termination.
13. Confidentiality
Each party agrees to protect the other party's non-public business, technical, and financial information disclosed in connection with the Services using the same degree of care it uses for its own confidential information, and no less than reasonable care, and not to disclose such information to third parties except as necessary to perform its obligations or as required by law.
14. Export Control and Compliance
Customer agrees to comply with all applicable export control, sanctions, and trade laws of the United States and other relevant jurisdictions in connection with its use of the Services, and represents that it is not located in, or a national of, any country subject to U.S. government embargo, and is not listed on any U.S. government restricted-party list.
15. Modifications to the Services and Terms
Elecatro may modify, suspend, or discontinue any part of the Services at any time. Elecatro may also update these Terms from time to time; material changes will be notified via the Services or by email at least 14 days before taking effect. Continued use of the Services after the effective date of revised Terms constitutes acceptance of the changes.
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-laws principles, and without application of the United Nations Convention on Contracts for the International Sale of Goods. Any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered in accordance with the rules of a mutually agreed arbitration body, conducted on an individual basis only; class actions and class arbitrations are not permitted. Either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.
17. General Provisions
- Entire Agreement: These Terms, together with any applicable order form, statement of work, or Data Processing Addendum, constitute the entire agreement between the parties regarding the Services.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
- No Waiver: Elecatro's failure to enforce any right or provision will not be deemed a waiver of such right or provision.
- Assignment: Customer may not assign these Terms without Elecatro's prior written consent; Elecatro may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure: Neither party is liable for delays or failures resulting from causes beyond its reasonable control.
- Independent Contractors: The parties are independent contractors; nothing in these Terms creates a partnership, joint venture, or agency relationship.
- Notices: Notices to Elecatro should be sent to the contact details below; notices to Customer may be sent to the email address associated with the account.
